    Terms of Service

    The short version

    • KorGuard is licensed to your organization, which administers your access. Use it as your organization and these terms allow.
    • Detection runs on your device. KorGuard is a safety layer, not a substitute for your organization's compliance program or legal counsel.
    • Don't misuse the service — no reverse engineering, no circumventing detection, no reselling without an agreement.
    • Your organization's written agreement with us controls if it conflicts with these terms.

    1. Agreement to these terms

    These Terms of Service ("Terms") are an agreement between KorGuard Inc. ("KorGuard," "we," "us") and the organization or person using our software and services (the "Service"). By installing the KorGuard browser extension or applications, signing in to the admin console, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

    If your organization has a separate written agreement with KorGuard (such as a master services agreement, order form, or pilot agreement), that agreement controls to the extent it conflicts with these Terms.

    2. The Service

    KorGuard provides software that detects sensitive information — such as protected health information (PHI) and nonpublic personal financial information — in text and files before they are submitted to third-party AI tools or sent by email, and that can warn, block, or de-identify accordingly. Detection runs locally on the user's device; the Service transmits only anonymous detection metadata as described in our Privacy Policy.

    3. Organizations, accounts, and administration

    The Service is deployed and configured by your organization's administrators, who provision API keys, manage policy settings, and control which users and devices are covered. You are responsible for maintaining the confidentiality of credentials and API keys issued to your organization and for all activity under them. Notify us promptly at admin@korguard.org if you believe a credential has been compromised.

    4. Acceptable use

    You agree not to, and not to permit others to:

    • Reverse engineer, decompile, or extract the source code, models, or detection logic of the Service, except where such restriction is prohibited by law.
    • Circumvent, disable, or interfere with detection, blocking, or de-identification features, or use the Service to test evasion techniques against it.
    • Resell, sublicense, or provide the Service to third parties except as permitted by a written agreement with KorGuard.
    • Use the Service to violate any law or regulation, or to infringe the rights of others.
    • Probe, scan, or test the vulnerability of our systems without prior written authorization.

    5. Subscriptions and fees

    Paid use of the Service is governed by the pricing and terms in your organization's order form or agreement with KorGuard. Unless stated otherwise there, fees are billed in advance, are non-refundable, and do not include taxes. Pilot or evaluation use may be provided free of charge for a limited period, and may be modified or discontinued at any time.

    6. Intellectual property

    KorGuard and its licensors own all right, title, and interest in the Service, including its software, detection models, and documentation. We grant your organization a limited, non-exclusive, non-transferable license to use the Service for its internal business purposes during the subscription term. No rights are granted except as expressly stated in these Terms.

    Feedback you choose to provide about the Service may be used by us without restriction or obligation.

    7. Customer data and privacy

    The content users type or upload is analyzed locally on the device and is not transmitted to, stored by, or visible to KorGuard. The anonymous detection metadata we do collect, and how we handle it, is described in our Privacy Policy. As between the parties, your organization owns its data; we process it only to provide and improve the Service.

    8. Not legal or compliance advice

    The Service is a technical safeguard. It does not constitute legal advice, and using it does not by itself make your organization compliant with HIPAA, GLBA, or any other law. Detection is probabilistic and may produce false positives or miss sensitive content. Your organization remains solely responsible for its regulatory obligations, policies, training, and the conduct of its personnel.

    9. Confidentiality

    Each party agrees to protect the other's non-public information received in connection with the Service with at least reasonable care, to use it only as needed to perform under these Terms, and not to disclose it to third parties except to employees and contractors under equivalent obligations, or as required by law.

    10. Disclaimer of warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORGUARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DETECT ALL SENSITIVE INFORMATION.

    11. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. KORGUARD'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF NO FEES WERE PAID). THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

    12. Termination

    Your organization may stop using the Service at any time; subscription terms are governed by its agreement with us. We may suspend or terminate access for material breach of these Terms that remains uncured after notice, or immediately where necessary to protect the Service or comply with law. Sections 6–11 and 13–15 survive termination.

    13. Changes to these terms

    We may update these Terms from time to time. We will post the updated Terms here and update the effective date; material changes will be communicated to organization administrators. Continued use of the Service after changes take effect constitutes acceptance.

    14. Governing law

    These Terms are governed by the laws of the U.S. state in which KorGuard Inc. is organized, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there.
